Acceptance of terms
By accessing the Wingflows website or engaging our services, you agree to these Terms of Service. If you represent a company, you confirm you have authority to bind that company to these terms.
Services
- Wingflows provides strategy, design, engineering, and growth services. The scope, deliverables, and timelines for each engagement are outlined in individual Statements of Work or Master Service Agreements.
- We reserve the right to decline or suspend work if requested deliverables fall outside the agreed scope, compromise quality, or violate applicable laws.
Intellectual property
- You retain ownership of materials you provide to us. Unless otherwise agreed in writing, we grant you ownership of bespoke deliverables upon receipt of full payment.
- Wingflows retains ownership of pre-existing materials, internal frameworks, processes, software, and non-client-specific templates used during engagements. We may reuse these in future work.
Confidentiality
- Both parties agree to keep confidential information shared during the engagement private and use it solely for delivering the agreed services.
- We may reference the engagement for marketing purposes (e.g., client name or case study) only with your prior written consent.
Payment terms
- Invoices are payable within 15 days unless otherwise specified. Late payments may incur interest at the lesser of 1.5% per month or the maximum allowed by law.
- Wingflows may suspend work if payments are overdue by 15 days or more.
Warranties and disclaimers
- We warrant that our services will be performed with reasonable care, skill, and professionalism consistent with industry standards.
- Except as expressly stated, our services are provided “as is” without additional warranties. We do not guarantee specific business outcomes, search rankings, or revenue results.
Limitation of liability
- To the maximum extent permitted by law, Wingflows’ total liability arising out of or related to an engagement is limited to the fees paid for the services in the 3 months preceding the claim.
- We are not liable for indirect, special, incidental, or consequential damages, including lost profits or data.
Termination
- Either party may terminate an engagement with 30 days’ written notice. Upon termination, you agree to pay for work completed up to the effective termination date.
- Sections concerning intellectual property, confidentiality, payment obligations, and limitation of liability survive termination.
Governing law
These terms are governed by the laws of the State of California, U.S.A., without regard to its conflict of law principles. Disputes will be resolved in state or federal courts located in San Francisco County, California.
Changes
We may update these Terms of Service periodically. Updates take effect upon posting to this page. Continued use of our website or services constitutes acceptance of the updated terms.
